Welcome to EMBR Technology. These Terms of Service ("ToS") govern your use of our services, including Web Design and WordPress Management. By engaging with our services, you agree to comply with these terms.
1. These ToS apply to all customers using EMBR Technology’s services within British Columbia, Canada.
2. We reserve the right to update these terms at any time, with notice provided on our website.
3. The services provided are commercial in nature and intended for business or professional use.
4. EMBR Technology fully manages the hosting and technical aspects of your website; customers do not have direct access to server configurations.
1. Customers agree to a 24-month contract for web design services, as outlined in their agreement.
2. Monthly payments are required, with payments due on the 1st day of each month.
3. Late payments beyond 14 days will incur a late fee. If payment is not received within 30 days, services may be suspended until payment is made in full.
4. Cancellation before the 24-month term requires the payment of the remaining balance for the design plus an early termination fee.
5. Customers must provide 60 days’ written notice for cancellations. If proper notice is not given, they will be billed for 60 days from the notice date.
6. Websites remain the property of EMBR Technology until the full contract term is completed and all payments are made.
7. Web Design Customers don’t own the website until full payment is complete.
8. Customers do not have access to web servers (FTP, SSH, or Control Panel) for security reasons.
1. WordPress management services operate on a month-to-month basis.
2. Payments are due on the 1st day of each month.
3. Customers must provide 60 days’ written notice for cancellation or will be billed for 60 days from the notice date.
4. Late payments beyond 14 days will incur a late fee. If payment is not received within 30 days, services may be suspended until payment is made in full.
5. Customers retain full ownership of their website but are responsible for any third-party services or plugins not managed by EMBR Technology.
6. WordPress Management customers already own the site.
7. Customers do not have access to web servers (FTP, SSH, or Control Panel) for security reasons.
1. Customers are responsible for providing all required content, branding, and necessary approvals in a timely manner.
2. Customers may not install, modify, or alter any website infrastructure, including themes, plugins, or scripts, without prior approval from EMBR Technology.
3. Customers must ensure that any content submitted complies with all applicable laws and does not infringe on third-party rights.
4. Customers may not attempt to gain unauthorized access to the hosting environment, databases, or server settings.
1. EMBR Technology utilizes third-party providers, including Stripe for payment processing and an upstream provider for server hosting.
2. Customers acknowledge that EMBR Technology is not responsible for any downtime, data loss, or service interruptions caused by these third-party services.
3. EMBR Technology will make reasonable efforts to resolve hosting-related issues but cannot guarantee uninterrupted service due to external provider dependencies.
1. Customers must ensure that all content provided to EMBR Technology for use on their website complies with legal and ethical standards.
2. EMBR Technology reserves the right to refuse, remove, or request modification of content that:

4. Customers are solely responsible for the legality of their content and agree to indemnify EMBR Technology against any claims arising from its use.
1. EMBR Technology is not liable for any indirect, incidental, or consequential damages arising from the use of our services.
2. Websites will be developed and managed in a professional manner, but we do not guarantee uninterrupted service due to unforeseen technical issues.
3. We are not responsible for third-party outages, hosting provider failures, plugin vulnerabilities, or hacking incidents.
4. Customers assume full responsibility for the accuracy, legality, and compliance of their website’s content.
5. Indemnification: Customers agree to indemnify and hold EMBR Technology harmless from any claims, losses, damages, or liabilities arising from:
1. All data handling complies with the British Columbia Personal Information Protection Act (PIPA).
2. We do not store or process customer data outside Canada.
3. Customers are responsible for ensuring compliance with applicable data protection laws for any personal data they collect through their website.

2. Any disputes will first be attempted to be resolved through mediation. If unsuccessful, disputes shall be handled in the courts of British Columbia.

2. If services are terminated due to non-payment, restoration may require full payment of any outstanding balances plus a reactivation fee.
3. EMBR Technology may terminate or suspend services if a customer engages in abusive, fraudulent, or illegal activities.
